For the remainder of this document, the term "Service" refers to the software-as-a-service (SaaS) platform and any other peripheral resources, tools, data, intellectual property, or services provided by The Vendor. The term "Vendor" refers to Avro, LLC., Masters Software LLC, or "Avro", a Michigan corporation and the operator of the Service. The term "Merchant" refers to the individual or entity that has registered to use the Service and is bound by these Terms of Service. The term "Customer" refers to the end consumer of a product offered by the Merchant who is registered with the service who is also bound by this agreement. The terms "you," "your," and "yours" refer to any user, either Merchant or Customer. The terms "we," "us," and "our" refer to the Vendor.
By using the Service, you agree to comply with these Terms of Service and any policies referenced herein.
1. Services Provided
Avro provides the following features:
- Web-based platform for managing employees, tracking Teams, Jobs, Routes, and Events, and sending emails.
- Android and iOS apps for routing, proof of service, productivity related field features.
- Integration with (and access to) OpenMapService, Stripe, and Google APIs.
- API access for seamless workflow integration.
- Invoicing and payment processing capabilities.
2. Account Responsibilities
- Registration: Provide accurate and complete information when creating an account.
- Security: Maintain the security of your account credentials. Notify us immediately of unauthorized access or usage.
- Compliance: Use the Service in compliance with all applicable laws and regulations.
3. Acceptable Use
You agree NOT to:
- Overwhelm the Service with excessive or malicious requests (e.g., denial-of-service attacks).
- Exploit vulnerabilities or interfere with the functionality of the Service.
- Use the Service in any unlawful or abusive manner.
- Your use of the Service is subject to our Privacy Policy. We take your data privacy seriously and use industry-standard measures to protect your information.
4. Prohibited Account Sharing
Sharing user accounts is strictly prohibited and constitutes a violation of these Terms. If account sharing is detected, Avro reserves the right to take the following actions:
- Immediately terminate all old sessions of the account upon detection of a new login.
- Investigate and take further action, including but not limited to account suspension or termination, based on the severity of the violation.
Each user must use their individual account credentials. This policy helps ensure the security and integrity of the Service.
5. Payments and Billing
- Subscription Fees: Fees are billed on a recurring basis based on your plan.
- Payment Terms: Payments must be made on time. Failure to pay may result in account suspension or termination.
- Refunds: Payments are non-refundable except as required by law.
6. Stripe Integration
Avro integrates with Stripe to process payments and handle invoicing. By using our payment processing features, the Merchant agree to:
- Be liable for all Stripe-related fees, including but not limited to transaction fees, chargeback fees, and other applicable costs.
- Comply with Stripe's Terms of Service and Privacy Policy.
- Authorize Avro to facilitate Stripe payment transactions on your behalf in accordance with section 7.
7. Autopay
The Merchant and the Customer may both enroll in "Autopay" to automatically pay and be paid for invoices. By enrolling in Autopay, you agree to:
- Maintain sufficient funds in your account to cover recurring payments.
- Ensure that your payment information is up-to-date and accurate.
- Understand that Autopay transactions are processed by Stripe and are subject to their terms and conditions.
- Understand that you are agreeing to a continuous payment authority and the terms laid out in this document.
- Merchants MAY NOT COMMIT FRAUD ON THE PLATFORM.
- Understand that you can cancel this at any time by contacting us at info@goavro.com
- The cancelation of autopay will not stop any pending or in progress transactions that have already been processed by Stripe.
- Cancelation of autopay does not relieve you of your obligation to pay any outstanding balances.
- Authorize Avro to facilitate Stripe payment transactions on your behalf.
- Frequency of transactions for Merchants will typically (but not always) be 30 days.
- Frequency of transactions for Customers will be detirmined by invoicing frequency of Merchants.
- For Merchants, the payment amount is detirmined according to the plan you subscribe to.
- For Customers the payment amount is detirmined by the bill amount submitted by the Merchant.
- Payment disputes are between the Merchant and the Customer. The Vendor does not act as an escrow service.
- The Vendor IS NOT LIABLE FOR MERCHANT ACTIVITIES ON THE SERVICE, FINANCIAL OR OTHERWISE.
- The Vendor does not assume liability for fraud committed by Merchants on the service.
- The Vendor will comply with legal orders to turn over financial transactions in accordance with the Privacy Policy.
- The Vendor reserves the right to use autopay to pay any balances including, but not limited to, charges incurred by Plans, Stripe Fees, Service Fees, Legal Fees or any other expense incurred as a result of unauthorized actions by a Merchant on the Service.
- The Vendor reserves the right to cancel or suspend Autopay at any time.
8. Voluntary Account Termination
The Vendor integrates with Stripe to process payments and handle invoicing. By using our payment processing features, the Merchant agree to:
- Merchants who voluntarily remove themselves from the platform may still be held liable for negative balances resulting from their use of the service.
- You have the right to delete their account at any either via the software or a request to info@goavro.com
- The Vendor can NOT make any guarantees about the storage of data by third party providers including, but not limited to, Stripe, OpenRouteService, Google and AWS
9. Involuntary Account Termination
The Vendor reserves the right to terminate or suspend your account without notice for:
- Failure to pay subscription fees.
- Abuse or misuse of the Service.
- Violation of these Terms or any applicable law.
10. Intellectual Property
All intellectual property rights in the Service, including software, designs, and content, are owned by The Vendor. Customers may not copy, modify, distribute, or reverse-engineer the Service.
11. Limitation of Liability
The Vendor shall not be liable for indirect, incidental, or consequential damages arising from your use of the Service, including loss of data, profits, or business interruptions.
The Service is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Vendor does not warrant that the Service will be uninterrupted, error-free, or secure.
12. Changes to this Policy
We may update this Privacy Policy from time to time. We will notify you of any changes by updating the date at the top of this policy. We may, but do not promise to, contact you about these changes via the email address associated with your account. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
